These Terms of Service ("Terms") govern your access to and use of the website located at agi-phone.one ("Website"), and the purchase of any products offered by AGI One ("Company," "we," "us," or "our"), including the AGI One smartphone and related software. By accessing the Website or placing an order, you ("you" or "User") agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of the Website immediately.

1. Eligibility

You must be at least 18 years of age to use this Website or purchase any product. By placing an order, you represent and warrant that you are of legal age in your jurisdiction and have the legal capacity to enter into a binding agreement.

2. Product Description

AGI One is a smartphone designed for cryptocurrency trading on the Solana blockchain. The device integrates third-party software including, but not limited to, OpenClaw, Jupiter, Raydium, Phantom Wallet, and pump.fun. Product specifications, features, and images displayed on the Website are for illustrative purposes and are subject to change prior to final production. We will make reasonable efforts to notify pre-order customers of any material changes to product specifications.

3. Pre-orders and Payment

A pre-order constitutes a binding agreement to purchase the product at the listed price. Prices are denominated in United States Dollars (USD). We accept payment in SOL, USDC, and major credit or debit cards. Cryptocurrency payments are processed on-chain and are considered final upon network confirmation. You are solely responsible for ensuring that cryptocurrency is sent to the correct wallet address. We are not liable for funds sent to an incorrect address.

Pre-order placement secures your position in the production and fulfillment queue. Devices will be shipped in the order in which pre-orders are received, subject to production availability.

4. Refund Policy

Pre-order payments are non-refundable except in the following circumstances: (a) the Company cancels the order at its sole discretion; or (b) the Company fails to deliver the product within twelve (12) months of the most recently communicated estimated shipping date. In either case, the Company will issue a full refund to the original payment method or wallet address within thirty (30) business days.

5. Shipping and Delivery

We are currently targeting Q3 2026 for the initial production batch. Estimated shipping dates are provided in good faith and are not guaranteed. Delivery timelines may be affected by manufacturing, supply chain, regulatory, or logistical factors beyond our control. Shipping costs, import duties, taxes, and customs fees are the responsibility of the purchaser unless otherwise stated at the time of checkout.

6. Warranty

Each AGI One device is covered by a limited warranty for a period of twelve (12) months from the date of delivery. This warranty covers defects in materials and workmanship under normal use. The warranty does not cover damage resulting from accident, misuse, unauthorized modification, water exposure, or normal wear and tear. Software provided with the device is offered on an "as is" basis and is not covered under this warranty. To initiate a warranty claim, contact us at the address provided below.

7. Assumption of Risk

You acknowledge and agree that cryptocurrency trading, including memecoin trading, carries significant financial risk. The value of digital assets is highly volatile and you may lose some or all of your investment. The Company does not provide financial, investment, tax, or legal advice. Nothing on this Website or within the device software constitutes a recommendation to buy, sell, or hold any digital asset. You are solely responsible for evaluating the risks associated with your trading activity and for all decisions made using the device.

8. Autonomous Agents

The AGI One device supports the execution of autonomous software agents through the OpenClaw runtime environment. These agents may execute transactions on your behalf based on parameters you configure. You acknowledge that autonomous agents may make trades that result in financial loss. The Company is not responsible for any losses, damages, or liabilities arising from the actions or inactions of autonomous agents running on your device. You are solely responsible for configuring, monitoring, and managing any agents you deploy.

9. Third-Party Services

The device and Website integrate with or reference third-party services and protocols including, but not limited to, OpenClaw, Jupiter, Raydium, Phantom Wallet, pump.fun, and the Solana blockchain. These services are operated by independent third parties. We do not control and are not responsible for the availability, functionality, security, or policies of any third-party service. Your use of third-party services is governed by their respective terms of service and privacy policies. We encourage you to review those documents before use.

10. Intellectual Property

All content on this Website, including but not limited to text, graphics, logos, trademarks, images, and software, is the property of the Company or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without the prior written consent of the Company.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or digital assets, arising out of or in connection with your use of the Website, the device, or any related software, regardless of the theory of liability. In no event shall the Company's total aggregate liability exceed the amount you paid for the product.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Website or device, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located within the United States.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Modifications

The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on the Website with a revised "Last updated" date. Your continued use of the Website or device following the posting of changes constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
